Terms & Conditions

Effective Date: June 23, 2025

The Terms & Conditions ("T&Cs"), along with Simulacra’s
Privacy Policy which is hereby incorporated, govern the entire relationship between you ("User," "Client," "Candidate," “Job Seeker,” and/or “Vendor”) and Simulacra, LLC ("Simulacra," "we," "our," or "us") including, but not limited to, your access to and use of the website located at https://simulacra.co and any affiliated subdomains (collectively, the "Site") as operated by Simulacra. By accessing or using the Site, engaging any of our Services, and/or providing products, services, deliverables, invoices, proposals, quotes, or contracts to Simulacra, you agree to the T&Cs.

1. Definitions

  • • “User” includes any individual or entity that accesses or uses the Site.

  • • “Client” refers to a business or entity purchasing, subscribing, or utilizing the Services.

  • • “Candidate” refers to any individual represented by Simulacra in connection with job opportunities at Simulacra’s Client(s).

  • • “Job Seeker” refers to any individual who utilizes –or may potentially utilize– Career Services.

  • • “Vendor” includes any individual or entity providing –or proposing to provide– products, services, or other deliverables to Simulacra.

  • • “Services” refer to any recruiting, consulting, coaching, training, subscriptions, SMS, or other services provided by Simulacra.

2. Career Services

Simulacra offers individual services and subscription plans to Job Seekers via one-time purchases or ongoing billing ("Career Services," which are part of the "Services").

2.1 General Policies

  • • All Career Services are nonrefundable and nontransferable.

  • • Simulacra reserves the right to increase the price of Career Services at any time. Active subscriptions will not be impacted by price increases as long as they continue to be active and paid for. One-time purchases that have already been paid for will not be impacted by price increases.

  • • Simulacra reserves the right to modify or discontinue any Promotion related to Career Services at any time, with or without notice.

  • • If you violate the T&Cs, whether in part or in full, Simulacra reserves the right to cancel your Career Services at any time without issuing a refund.

  • • In the event Simulacra fails to deliver a Career Service during the current billing cycle, Simulacra may choose to either: 1) deliver the Career Service, or 2) issue a refund.

2.2 Subscriptions

• Subscriptions may be cancelled or downgraded at any time prior to the next billing cycle, although it won’t affect services already paid for during the current billing cycle.

• Subscription upgrades are permitted at any time through the Career Services Portal, although they cannot be prorated. Within seven (7) days of purchasing a subscription, you may Contact Us to receive a subscription upgrade for the total incremental cost. After seven (7) days, you may upgrade a subscription via the Career Services Portal for the full additional amount of the new subscription and your old subscription will not renew. As part of an upgrade, any unused hours during the most recent billing cycle of the old subscription will be credited to the new subscription.

• If you forget to cancel a subscription for any reason, Simulacra is not responsible for issuing a refund.

• If you cancel a subscription and resubscribe later, it will be according to the pricing currently in effect at the time including any price increases.

2.3 Hours of Expert Consultation

  • • If you purchase Career Services that include one or more hours, you must use the hours within the current billing cycle. Any unused hours expire at the end of the current billing cycle.

  • • You agree to promptly (within 3 days) respond to Simulacra’s request to schedule any included hours. Otherwise, Simulacra may cancel your Career Services without issuing a refund.

  • • Hours of consultation occur during normal business hours (Monday-Friday, 9am-5pm Eastern Time) and are subject to Simulacra’s availability.

2.4 Payments & Stripe

  • • Payments are processed through Stripe.

  • • You are solely responsible for managing your purchases and subscriptions via the “Career Services Portal” powered by Stripe.

  • • You are solely responsible for managing your user name and password to the Career Services Portal, keeping them secure, and promptly notifying Simulacra of any unauthorized use.

  • • By purchasing Career Services, you authorize Simulacra and Stripe to charge your credit card or other payment method, or to debit your bank account, based on the payment method you select.

    2.5 Eligibility for Career Services

  • • Career Services are currently only available to Job Seekers in the United States.

  • • For clarity, Career Services are currently NOT available to Job Seekers in Canada, or any jurisdiction where it is illegal for recruiting firms to charge Job Seekers.

2.6 No Placement Fees or Job Access Charges

Simulacra does NOT charge Candidates for access to job opportunities or to be placed at companies that Simulacra represents as a Client. Any fees charged to Candidates are solely for Career Services that do not guarantee employment or access to specific job listings.

2.7 No Warranty or Guarantee

  • • Simulacra does not guarantee any specific outcomes from your use of Career Services.

  • • Simulacra is not responsible for the actions or hiring decisions of any Client, company, or third party in connection with your use of Career Services.

3. Exclusions

3.1 GDPR Important Notice

The Site and Career Services are not intended for use by any person or entity located in the European Economic Area (EEA), United Kingdom, Switzerland, or any jurisdiction governed by the General Data Protection Regulation (GDPR). If you are subject to GDPR, do not access or use the Site or Career Services.

3.2 Minors

The Site and Services are not intended for use by anyone under the age of 18 or the age of majority in your state of residence, whichever is older. By accessing or using the Site or Services, you represent and warrant that you meet any applicable age requirements.

4. Communications

4.1 General

Simulacra may contact you via phone, SMS, email, or message using third-party services including, but not limited to, RingCentral and LinkedIn. By providing your contact information, you consent to such communications. Message and data rates may apply. You may opt out of marketing communications at any time. All communications are provided on an “as is” and “as available” basis, without guarantees or warranties of any kind, either express or implied. We are not responsible for any delays or undelivered messages.

We respect your privacy. Your information will be collected and used according to our Privacy Policy.

4.2 SMS Terms & Conditions

By opting in to our SMS services, you agree to the following additional terms and conditions. Please read these carefully before using the service.

  • • Opt-In Process: By providing your phone number and confirming your consent, you agree to receive SMS messages from Simulacra. This includes promotional content, job alerts, reminders, notifications, confirmations, and important account-related information.

  • • Opt-Out Process: You may opt out of receiving SMS messages at any time. To stop receiving messages, reply to any message with the word “STOP.” Upon receiving your request, we will promptly remove you from our SMS list.

  • • Messaging frequency may vary.

  • • Message and data rates may apply. Please check with your mobile carrier for details regarding any charges associated with text messages.

  • • SMS services are supported by most U.S. carriers. Service may not be available with all carriers or in all areas.

5. No Warranty or Guarantee

Unless expressly agreed to in writing by an authorized representative of Simulacra, the Site, Services, Promotions, and resumes (collectively, the “Offerings”) are provided on an “as is” and “as available” basis, without any express or implied warranties. Simulacra expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any arising from course of dealing or usage of trade. Simulacra does not warrant that the Offerings will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. Simulacra makes no representations regarding the accuracy, reliability, completeness, or usefulness of any content or information provided through the Offerings. Your use of the Offerings is voluntary and at your sole risk. Simulacra does not guarantee any specific results, job offers, or other outcomes unless expressly agreed to in writing by an authorized representative of Simulacra. Simulacra disclaims all responsibility for the acts, decisions, or conduct of any User, Client, Candidate, Job Seeker, Vendor, or other third party.

6. Indemnification

You agree to defend, indemnify, and hold harmless Simulacra and its affiliates, members, officers, employees, contractors, agents, successors, and assigns from and against all claims, demands, actions, suits, damages, liabilities, losses, settlements, judgments, and costs, including all attorney fees, arising out of or related to your access or use of the Site, your purchase or use of the Services, or you providing –or proposing to provide– products, services, or other deliverables to Simulacra, including, but not limited to: bodily injury, death, property damage, loss of goodwill, use, revenue, or profit, unauthorized access, security breaches, spam or malware, denial-of-service attacks, exposure or theft of confidential or personal data, data corruption or deletion, and any consequential, incidental, indirect, special, exemplary, or punitive damages, whether arising out of breach of contract, tort, or otherwise.

7. Limitation of Liability

Simulacra’s cumulative liability to any User, Client, Candidate, Job Seeker, Vendor, or third party for any claim arising out of or relating to the Site or Services shall at all times be limited to the total net amount actually paid by that party to Simulacra for the Services giving rise to the claim during the one (1) month immediately preceding the event causing the alleged damage.

8. Force Majeure

Simulacra shall not be liable or responsible for any failure or delay in performance of its obligations caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, wars, terrorism, labor disputes, supply chain disruptions, governmental actions, or interruptions in telecommunications, power, or internet services.

9. Governing Law & Dispute Resolution

These T&Cs are governed exclusively by the laws of the State of Florida without regard to conflict of law principles.

You agree to attempt to resolve any dispute with Simulacra in good faith. Any controversy or claim (including arbitrability) arising out of or relating to the T&Cs, Simulacra’s Privacy Policy, your access or use of the Site, your purchase or use of the Services, or you providing –or proposing to provide– products, services, or other deliverables to Simulacra will be settled by arbitration in the State of Florida by the American Arbitration Association. Judgment may be entered in any court having jurisdiction. Each party will bear its own initial arbitration costs. All proceedings will be in English, and any party requiring an interpreter must arrange and pay for the interpretation service.

Notwithstanding this section, if Simulacra does not receive full, timely payment for any Service, Simulacra may seek legal remedies beyond arbitration.

10. Late, Missing, or Invalid Payments

If Simulacra does not receive full, timely payment for any Service:

• Simulacra may apply up to a 5% “Late Fee” to the unpaid balance, and
• Simulacra is entitled to all collection costs, attorney fees, and legal expenses in addition to the unpaid balance.

If your payment is invalid or rejected for any reason, you are solely liable for all related insufficient funds fees, chargeback fees, reversal fees, or any other penalties imposed by financial institutions or payment processors.

11. Candidates

Due to the high volume of applications, messages, and inquiries received, Simulacra cannot guarantee a response to every Candidate who applies for a position, sends a message through LinkedIn, emails our team, or completes a contact form on our Site. Only qualified Candidates will be contacted. We appreciate your interest and review submissions as quickly as possible.

By applying to job postings listed on our Site or third-party platforms (for example, LinkedIn and Indeed), or by submitting your resume or otherwise expressing interest in a role, you consent to being considered for relevant opportunities and authorize Simulacra to share your information with our Client(s) in connection with such opportunities.

By providing your resume to Simulacra, you authorize us to reformat, rebrand, and/or modify your resume using Simulacra’s branding, logos, and colors, subject to these T&Cs. You agree that any resume modified or rebranded by Simulacra –excluding modifications made through our Career Services– is intended solely for use in connection with specific job opportunities at Simulacra’s Client(s) to which we are actively submitting you, and may not be used independently to apply to other employers, platforms, or roles without Simulacra’s prior written permission.

12. Vendors

Any products, services, deliverables, invoices, proposals, quotes, or contracts issued to Simulacra must be pre-approved in writing by an authorized representative of Simulacra. We reserve the right to reject or withhold payment for any invoices that do not have documented pre-approval, or that are incongruent with approved terms.

Simulacra rejects and will not be bound by any terms and conditions appearing on or referenced in any Vendor invoice, proposal, quote, contract, or other document, unless such terms are specifically agreed to in a separate, prior written agreement signed by an authorized representative of Simulacra.

Unless otherwise agreed to in writing, no Vendor shall claim or imply any agency, partnership, or employment relationship with Simulacra. Vendors are responsible for all required licenses, insurance, and compliance with applicable laws. Simulacra is not liable for incidental, indirect, or consequential damages arising from a Vendor’s product or service, even if advised of the possibility of such damages.

13. Nondiscrimination & Equal Opportunity

Simulacra complies with all applicable federal, state, and local nondiscrimination laws. We do not discriminate on the basis of race, color, religion, sex (including gender and sexual orientation), pregnancy, national origin, age, disability, genetic information, veteran status, or any other status protected by law.

14. Sustainability Commitment & Environmental Policy

Simulacra is committed to reducing our environmental impact while helping build sustainable workforces. As a remote-first recruiting firm, we reduce our carbon footprint and minimize emissions by limiting travel and operating paperless workflows. Through ongoing education and carbon-conscious practices, we aim to support a more sustainable future in both our operations and the industries we serve.

15. Proprietary Property & Use Restrictions

All content, features, functionality, and materials available on the Site and through our Services including, but not limited to: text, colors, graphics, images, logos, icons, designs, layouts, video, audio, software, hardware, code, interfaces, files, documents, pricing, products, subscriptions, strategies, ideas, formulas, frameworks, instructions, advice, and proprietary methods– are all collectively the “Proprietary Property” of Simulacra, LLC and may be protected by copyright, trademark, trade secret, and other intellectual property laws. You may not reproduce, modify, republish, translate, upload, post, transmit, sell, create derivative works from, exploit, directly or indirectly profit from, or distribute any Proprietary Property, whether in part or in full, in any manner without the prior written consent of Simulacra. Unauthorized use of the Site or Services is strictly prohibited and may result in legal action. You agree not to:

  • • Violate any local, state, or federal laws.

  • • Use the Site or Services for unauthorized commercial purposes.

  • • Scrape, reverse engineer, misuse, hack, or attack any content, data, or functionality on the Site.

  • • Engage in any behavior that compromises the security, availability, or integrity of the Site.

16. Promotions

16.1 Terms & Conditions

All giveaways, advertisements, marketing materials, capability or diversity statements, event booth content, coupons, discount codes, gift cards (“Gift Cards"), benefits, and other promotional offers (collectively, “Promotions”) related to Simulacra, the Site, and/or the Services are subject to these T&Cs, regardless of how Promotions are presented or distributed. Any additional terms and conditions from Simulacra related to specific Promotions are hereby incorporated into these T&Cs. If you violate, or if Simulacra suspects that you have violated, any part of the T&Cs, Simulacra reserves the right to cancel, modify, revoke, or suspend any payments, benefits, or Gift Cards issued to you in connection with any Promotion. Simulacra is under no obligation to provide notice prior to taking such action(s). All determinations regarding violations of the T&Cs will be made at Simulacra’s sole discretion and are final.

16.2 Not Guaranteed & Subject To Change

Promotions are not guaranteed, and are only made available at Simulacra’s sole discretion. Simulacra may choose to modify or discontinue any Promotion at any time, whether in part or in full, with or without notice.

16.3 Eligibility

Eligibility for any Promotion is subject to Simulacra’s verification and approval. Simulacra may reject your eligibility for any Promotion in its sole discretion at any time, with or without notice.

16.4 Gift Cards

A Gift Card may be physical or electronic, depending on availability and according to Simulacra’s sole discretion. If electronic, the Gift Card may be restricted to purchases online or over the phone in the United States and District of Columbia. The Gift Card may be issued through a third party like Vanilla Gift (vanilllagift.com), in which case you also agree to be bound by their terms and conditions. Gift Cards may incur transaction, monthly, or other issuer fees that may reduce their value; these fees are your responsibility and are not covered by Simulacra.

16.5 Loss, Delivery Issues, & No Replacement Policy

Simulacra is not responsible for any loss, theft, misplacement, delay, technical error, payment processing issue, or delivery failure related to any payments, benefits, or Gift Cards issued in connection with any Promotion. Lost, stolen, or undeliverable items will not be reissued or replaced under any circumstances. Simulacra does not insure any payment, benefit, or Gift Card issued in connection with any Promotion.

16.6 Tax Reporting & Requirements

As part of any Promotion, Simulacra may require the completion of IRS Form W-9 for tax reporting and compliance purposes, in which case you warrant and guarantee that all information provided to Simulacra on Form W-9 is accurate, truthful, and complete. All payments, benefits, and Gift Cards from Simulacra may be taxable. Please consult with a tax professional on how to properly report any tax that may be owed. As a result of participating in Promotions, you may receive tax forms like 1099-NEC from Simulacra and/or third parties.

16.7 Limitations & Restrictions

All Promotions are limited to one (1) individual or one (1) entity, as applicable, unless stated otherwise in writing by Simulacra. A Promotion may not be combined with any other Promotion, transferred to another individual or entity, applied as a credit toward Services, or redeemed for cash or credit, unless expressly authorized in writing by an authorized representative of Simulacra.

16.8 Timing of Payment

The timeline for issuing any payment, benefit, or Gift Card will be determined by Simulacra based on the specific terms of each Promotion. Issuance timelines are not guaranteed and may vary at Simulacra’s sole discretion.

17. Changes

Simulacra reserves the right to change the Site, Services, T&Cs, and Privacy Policy at any time, whether in part or in full. This includes the right to modify, update, amend, delete, or discontinue any portion or all of them together (collectively, “change” for the purpose of this section). Changes take effect immediately upon posting to the respective website page. Your continued use of the Site or Services after such changes are posted constitute your understanding and acceptance.

18. Severability

If any provision of these T&Cs is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19. Assignment or Transfer

You may not assign or transfer your interests, rights, and obligations under these T&Cs without prior written consent from Simulacra. Simulacra may transfer its interests, rights, and obligations without your consent. 

20. Waivers & Exceptions

Any waiver of a provision in these T&Cs must be stated in writing by an authorized representative of Simulacra to be valid. Simulacra’s failure to enforce any term or condition shall not be construed as a waiver of its rights. Any exception to these policies will be considered on a case-by-case basis at Simulacra’s sole discretion and does not constitute a continuing waiver or precedent.

21. Electronic Records & Signatures

By using the Site, Services, or entering into any agreement with Simulacra, you consent to the use of electronic records and signatures. You acknowledge and agree that any agreements, disclosures, notices, consents, or other communications provided electronically by Simulacra shall satisfy any legal requirement that such communications be in writing. You further agree that your electronic signature—whether typed, clicked, or otherwise indicated—carries the same legal effect as a handwritten signature and is valid and enforceable under applicable law.

22. Section Headings

Section headings are provided for convenience only and do not affect the meaning or interpretation of the provisions.

23. Entire Agreement & Legally Binding

The T&Cs, together with our Privacy Policy and any additional terms agreed to in writing:

• Constitute the entire agreement between you and Simulacra regarding your use of the Site and Services,
• Supersede any prior oral agreements, promises, conditions, or understandings,
• May only be amended in writing signed by both parties, and
• Are legally binding.
